Terms of Use.
These terms govern use of the BedSight Flow platform by authorized professionals of contracting healthcare institutions. Read carefully before using the service.
1. Acceptance of terms
By accessing or using BedSight Flow, you ("Authorized User") declare that: (a) you are a professional authorized by the contracting institution to use the service, (b) you acknowledge and agree to these Terms of Use and to the Privacy Policy and the Responsible AI document, and (c) you recognize that your employer institution is a participant in the active B2B contract or a contracting party for service with FRC Consultores Associados LTDA (FRC).
2. Definitions
- Platform
- The BedSight Flow software, including the web app, mobile app, TV Dashboard panels, Editor, Mission Control, and any other official surfaces.
- Contracting institution
- Hospital, clinic, hospital network, NIR, or other healthcare organization that signed an active B2B contract with FRC Consultores Associados LTDA (FRC).
- Authorized User
- A professional affiliated with the contracting institution, with an individual access credential assigned via RBAC.
- Operational data
- Bed status, Kamishibai review records, external blockers, internal pendencies, operational audit logs, and standardized clinical classifications (admitting specialty, operational flags such as isolation or mechanical ventilation) used solely for flow categorization and coordination — with no diagnostic, therapeutic, or clinical monitoring purpose.
- Descriptive clinical record (out of scope)
- Under these terms, descriptive or narrative clinical records of patients — clinical evolution notes, anamnesis, detailed medication prescriptions, laboratory or imaging results, reports, and progress notes — are out of scope and must not be entered into the platform. Standardized classifications (admitting specialty) are permitted operational data.
3. Nature of the service
BedSight Flow is a B2B management and productivity tool for operational hospital-flow coordination. It implements Lean Healthcare methodology (Kamishibai, operational Kanban, Huddle) as a multiprofessional coordination layer.
BedSight Flow is not a medical device (non-SaMD). It does not perform diagnosis, clinical monitoring, triage, clinical severity stratification, or recommendations of conduct, dose, discharge, or treatment. It does not replace electronic health record systems or official clinical decision tools.
Clinical responsibility remains entirely with the care team and official hospital systems. BedSight Flow is the operational orchestration layer around those systems, not a substitute for them. When enabled, the AI agent (FAB) acts solely as an operational copilot, as detailed in the Responsible AI document.
Operational stage. BedSight Flow is in B2B production operation, under the responsibility of FRC Consultores Associados LTDA (FRC), CNPJ 22.052.463/0001-30, which acts as the contracting party, owner, licensor, and operator of personal data processed on behalf of contracting institutions. Contracting institutions operate under their applicable B2B service contracts, for operational coordination and continuous product improvement. References to "contracting institution" and "B2B contract" in these Terms designate the applicable contractual relationship.
4. License of use
Under the B2B contract signed with the contracting institution, FRC Consultores Associados LTDA grants the Authorized User a non-exclusive, non-transferable, revocable, and restricted license to use the platform for operational coordination within the scope of their functional role at the institution.
The license is strictly B2B. Individual use, parallel commercial use, sublicensing, resale, or making the service available to third parties not affiliated with the contracting institution is forbidden.
5. Account and authentication
- Access credentials are individual and non-transferable.
- Sharing a password, session token, or authenticated device with third parties is forbidden.
- The RBAC role is assigned by the contracting institution (or by the platform Super Admin) and defines the User's permission scope.
- The User is responsible for all activity performed under their credential.
- If compromise is suspected, the User must immediately notify the contracting institution's Administrator and BedSight Flow.
6. Expected conduct
Platform use is restricted to operational coordination purposes. It is expressly forbidden to:
- Use the platform as an electronic health record, prescription, or clinical record.
- Enter descriptive or narrative clinical patient records (clinical evolution, anamnesis, detailed prescriptions, lab/imaging results, reports, progress notes).
- Use the platform as the sole basis for clinical decisions, especially discharge, admission, transfer, dose, or therapeutic conduct.
- Reverse-engineer, decompile, mass-scrape, or attempt to bypass RBAC access control.
- Share platform content with third parties not authorized by the contracting institution.
- Use the AI agent (FAB) to obtain clinical recommendations, diagnosis, or decisions about an individual patient (see Responsible AI).
Caveat: standardized clinical classifications (admitting specialty) are permitted operational data as defined in Section 2, and do not constitute a descriptive clinical record.
7. Intellectual property
All software, brand, design, source code, documentation, marketing materials, layouts, icons, visual identity, and institutional content of BedSight Flow are owned and/or held by FRC Consultores Associados LTDA (CNPJ 22.052.463/0001-30), protected by applicable intellectual property laws. The license of use does not grant the Authorized User any ownership rights over these elements.
8. Service availability
The service is provided as SaaS, hosted on Google Cloud Platform, region southamerica-east1. Availability follows a best-effort model; a specific SLA, when applicable, is defined in the individual B2B contract with the contracting institution.
Scheduled maintenance is communicated with reasonable advance notice to contracting-institution administrators. Interruptions caused by infrastructure providers (Google Cloud, telecom providers) are outside BedSight Flow's direct control.
9. Limitation of liability
BedSight Flow is not liable, under any circumstance, for:
- Clinical decisions made by the care team, whether or not supported by information shown on the platform.
- Use of the platform outside the B2B administrative scope set out in these Terms.
- Data entered by the contracting institution or its Authorized Users, especially if contrary to Section 6 conduct rules.
- Interruptions, failures, or degradation caused by third-party infrastructure providers (GCP, ISPs, user devices, hospital networks).
- Indirect, lost-profit, or consequential damages arising from use or unavailability of the service, except where liability cannot be waived by law.
10. Platform updates
BedSight Flow may update, modify, or discontinue features at any time, subject to the B2B contract with the contracting institution. Releases are published via a controlled CI/CD pipeline with automated tests and prior review. Material changes affecting operational flow are communicated to institution administrators.
11. Termination
An Authorized User's access may be terminated in the following cases:
- Request by the contracting institution (offboarding, functional role change).
- User breach of these Terms (especially Section 6 conduct rules).
- Termination of the B2B contract with the contracting institution.
- BedSight Flow decision upon founded suspicion of fraud, abuse, or risk to service integrity.
In all cases, retention of operational data and audit logs follows purpose, necessity, applicable obligations, and the controller institution's instructions. Where sufficient, data may be aggregated, de-identified, or deleted; records may be preserved as evidence when necessary.
12. Venue and governing law
These Terms are governed by Brazilian law. The courts of Joinville/SC are elected to settle any disputes arising from these Terms, with express waiver of any other venue, however privileged, without prejudice to B2B contractual provisions signed with each contracting institution.
13. Updates to these Terms
These Terms may be updated periodically. The current version, with its date, will always be published on this page. Material changes will be communicated with reasonable advance notice to contracting-institution administrators.
